Terms of service
These terms are the agreement between you and Roost. We have tried to write them so that you can read them. Where a sentence is doing legal work, it still says what it means.

1. Who these terms are between
These terms govern your use of roost.vet, app.roost.vet and the Roost service. They are between you and Roost Platform LLC, a Colorado limited liability company at 1500 N Grant St STE R, Denver, CO 80203 (“Roost,” “we,” “us”).
You accept these terms when you create an account. Our privacy policy explains how we handle your data and forms part of these terms.
2. Your account
Roost is built for relief veterinarians working in the United States, who are usually sole proprietors. To open an account, you need to be at least 18, able to enter a binding agreement, and using Roost for your business rather than personal or household purposes. You also need to give us accurate information about yourself and your relief work.
You are responsible for what happens under your login and for keeping it secure. If you invite anyone to your account, you are responsible for what they do in it. Tell us if you think your account has been compromised.
3. What Roost is, and what it is not
- Roost is software for your own business. It is not a staffing agency, a marketplace or an employer. We do not find you work, place you with practices, set your rates, or take part in your relationships with the practices you work for. Those relationships, and the work itself, are yours.
- Roost does not give tax, legal or accounting advice. Roost produces tax-ready, accountant-ready records. It does not file returns, tell you what you owe, or decide how anything should be treated for tax purposes. Roost may provide insights and data, but is not to be taken as advice. Talk to your CPA about those decisions.
- Roost does not practice veterinary medicine and holds no medical records. Your professional licensing, your insurance, and the clinical work you do are your responsibility.
- You are responsible for what you send. The invoices, rates, billing terms, late fees, cancellation charges and messages you send to practices through Roost are yours. They need to be accurate and lawful where you and the practice are.
4. The subscription: billing, renewal and cancellation
Roost has a free plan and paid subscriptions, billed monthly or annually. The plans and their current prices are on our pricing page, which is the source of truth for what a plan costs. Subscriptions are billed through our billing provider, in US dollars, plus any applicable sales tax.
Perch, the entry plan, is free while your trailing-twelve-month revenue from relief work is under $25,000. That revenue counts all your relief income, including marketplace earnings you enter. Perch is a free plan, not a trial: there is no clock that runs out with the passage of time. If your relief work grows past the threshold, a 30-day grace period begins. You can extend it once by a further 14 days, and we will tell you the end date plainly. To keep using Roost after that, you move to a paid plan. If you do not, your account becomes read-and-export only. That change deletes nothing, and export keeps working.
A paid subscription renews at the end of each billing period, monthly or annual, until you cancel. Cancellation is self-serve and takes effect at the end of the period you have paid for. It stops future billing, and your data stays exportable.
Refunds. Monthly subscriptions are not refunded for a partial month. If you cancel an annual subscription within 14 days of paying for it, we refund it in full. After that, it runs to the end of the year you paid for. If we materially fail to provide the service, write to us and we will make it right.
Price changes. We may change subscription prices. A change takes effect at your next renewal period. We will notify you in advance of any subscription price changes.
5. Roost Payments
Roost Payments is an optional service. It lets you invoice a practice and be paid by bank transfer or card, with each payment matched to its invoice and to the shift it came from. Our fee is a percentage of the payment, and it depends on your plan: 1% on Perch, 0.5% on Nest and 0.25% on Aerie. Roost Payments is built on Stripe Connect. To use it, you open a Stripe connected account, complete Stripe’s identity verification, and accept the Stripe Connected Account Agreement, which governs your relationship with Stripe. Stripe’s own processing fee applies in addition to our fee.
You are the merchant of record. The sale is yours, and the funds are yours once they settle. You also carry chargeback and dispute liability: if a practice disputes a payment, the dispute lands on you, not on Roost, and any amount reversed or charged back comes out of your Stripe balance or your bank account. We say this plainly here and in our marketing, because you should know it before you rely on Roost Payments.
Roost is infrastructure, not a party to the payment. We do not take receipt of your funds. We do not guarantee or protect payment, and we do not stand behind a practice’s ability to pay. The payment runs between you and the practice, through Stripe.
We may change the payments rate with at least 30 days’ notice, by email or in the app. The new rate applies only to payments made after it takes effect.
6. Your billing terms with practices
Roost lets you send your billing terms to a practice and record the practice’s acceptance. These cover payment due dates, late fees, card surcharges and cancellation charges. Those terms are an agreement between you and the practice. Roost is not a party to them and does not enforce them. Roost’s software sets what the terms look like and keeps a tamper-evident record of what was accepted, by whom and when. You decide what the terms say, and you are responsible for making sure they are lawful where you and the practice operate. That matters most for late fees and cancellation charges, which some states limit.
7. Your data is yours
Your practices, shifts, rates, invoices, mileage and books belong to you. On every plan, you can download your core records from inside Roost at any time, and you can ask for a full export of everything your account holds, at any time, by writing to hello@roost.vet. If you close your account, we send you a full export first, and we do not hold your data hostage. There is no lock-in. That is a core promise of the product, not a courtesy.
You give Roost permission to host, copy, process and display your data only as needed to run the service for you, as our privacy policy describes. If you publish a booking page, you also permit us to show its content publicly at the address you choose. You confirm that you have the right to put into Roost what you put in, including the practices’ contact details.
We may use aggregated, de-identified information about how Roost is used, which cannot identify you or any practice, to run and improve the service.
8. Connected services
Roost can work with services you choose to connect, such as your own account or payments provider. Your agreement with that provider governs your use of it. When you connect a service, you authorize Roost to exchange data with it on your behalf. We are not responsible for a connected service’s availability or for what it does with your data.
9. Acceptable use
Use Roost for your own relief work and within the law. We may suspend or close an account that is used illegally, that abuses or tries to break or overload the service, that impersonates someone, that sends unsolicited messages, or that is used to harm others. Where we reasonably can, we will tell you why and give you a chance to put it right first.
10. Availability and changes to the service
We work to keep Roost reliable and to be straight with you when something is wrong, but we do not promise that it will be uninterrupted or error-free. We may change or improve features. If we remove something you are paying for, we will give you notice and a way to export what it held.
11. Ending these terms
You can close your account at any time by writing to hello@roost.vet. We may end these terms or close your account with 30 days’ notice, or immediately if you seriously breach them, for example under section 9. When an account closes for any reason, including a serious breach, you can still get a full export of your data by writing to hello@roost.vet, for as long as we hold it (see “Keeping, exporting and deleting your data” in our privacy policy). Sections 3, 5 (for payments already made), 7, 12, 13, 14 and 15 continue after these terms end.
12. Warranty disclaimer
Roost is provided as is and as available. To the extent the law allows, we disclaim all warranties not stated in these terms, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. Roost’s records are only as accurate as what is entered into them and what connected services report. Check your invoices and books before relying on them, and have your accountant review anything that matters for tax.
13. Limitation of liability
To the extent the law allows, neither you nor Roost is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue. Roost’s total liability arising from these terms or the service is limited to the greater of the subscription fees and Roost Payments fees you paid Roost in the 12 months before the claim, or $100. These limits do not apply to fraud, to willful misconduct, or to anything the law does not allow to be limited.
14. Indemnity
You will defend and indemnify Roost against third-party claims arising from your relief work, from the invoices, billing terms and charges you send to practices, from payment disputes between you and a practice, or from your breach of these terms or the law.
15. Governing law and disputes
These terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws rules. Before filing any claim, each of us agrees to try to resolve the dispute informally for 30 days by writing to the other. If that does not resolve it, the dispute goes to binding arbitration rather than to court. The American Arbitration Association administers it under its Commercial Arbitration Rules, before a single arbitrator, in Denver, Colorado, or by video if we both agree. The arbitrator’s decision is final, and a court with jurisdiction may enter judgment on it. Either of us may still bring a qualifying claim in small-claims court, or ask a court for an urgent order to stop misuse of data or intellectual property while an arbitration is pending. Claims are brought individually, not as a class or representative action.
16. Changes to these terms
We version these terms, and we may change them at any time. When we do, we will update the date and version at the top and notify account holders by email or in the app. A change to the payments rate carries the notice in section 5. If you keep using Roost after a change takes effect, you accept it. If you do not agree, you can close your account and request a full export.
17. The rest
These terms, together with the privacy policy and the prices on our pricing page, are the whole agreement between us about Roost. If a part turns out to be unenforceable, the rest still applies. You may not transfer these terms without our consent. We may transfer them to a successor that takes over Roost. If we don’t enforce something straight away, we haven’t waived it. Notices to you go to your account email. Notices to us go to hello@roost.vet
Questions: write to hello@roost.vet and a person will answer.
